Clause 1: Statutory Late Payment & Interest Terms
Payment shall be due within 14 days of the invoice date. If the Customer fails to make payment by the due date, statutory interest shall accrue daily at the rate of 8% per annum above the Bank of England base rate from time to time in force, pursuant to the Late Payment of Commercial Debts (Interest) Act 1998, alongside statutory fixed compensation (£40, £70, or £100 per overdue invoice) and all reasonable debt recovery costs incurred.
Clause 2: Performance & Delivery Suspension
The Supplier reserves the right to suspend all services, deliveries, and software release access without liability if any invoice remains unpaid after the due date, until all outstanding amounts and statutory interest are received in cleared funds.
Clause 3: Retention of Title & IP License
Title to all deliverables, deliverables documentation, and intellectual property licenses shall remain with the Supplier and shall not pass to the Customer until all sums due under the contract have been discharged in full.
Commercial Rule of Thumb: Under the Late Payment of Commercial Debts (Interest) Act 1998, statutory interest and compensation apply to all UK business-to-business transactions automatically. Including these clauses in advance puts the debtor on notice and significantly accelerates payment prioritization.
