1. Agreement to Terms

By accessing or using Recoup-IQ ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms constitute a legally binding agreement between you ("User" or "you") and RECOUPIQ LTD ("we," "our," or "us"), registered in the United Kingdom (Company Number 16947526, Registered Address: Flat1 410 High Street Lincoln LN5 7TE United Kingdom).

2. Description of Service

Recoup-IQ is a SaaS platform that provides:

  • Invoice creation and management tools
  • Automated payment reminder services
  • Payment recovery and invoice resolution automation
  • Client communication and tracking
  • Financial analytics and reporting

3. User Eligibility

To use this Service, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Operate a legitimate business or freelance operation
  • Provide accurate and complete registration information
  • Not be prohibited from using the Service under UK or applicable law

4. User Account

4.1 Account Creation

You must create an account to use certain features. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your account information remains accurate and up-to-date

4.2 Account Suspension

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

5. Subscription Plans and Pricing

5.1 Available Plans

We offer multiple subscription tiers (Free, Pro, Agency) as described on our Pricing page.

5.2 Payment Terms

  • Paid plans are billed monthly or annually in advance
  • All prices are in GBP (£) and exclude VAT where applicable
  • Payment is processed securely through Stripe
  • Failed payments may result in service suspension
  • We reserve the right to change pricing with 30 days' notice

5.3 Refund Policy

We offer a 30-day money-back guarantee for new subscriptions. Refunds are prorated based on unused time. To request a refund, contact contact@recoup-iq.tech.

5.4 Cancellation

You may cancel your subscription at any time. Access continues until the end of your billing period. No refunds are provided for partial months unless within the 30-day guarantee period.

5.5 Fair Use Policy (Physical Letters)

The "30 Physical Letters" allowance in the Business Plan is intended for genuine invoice recovery purposes associated with distinct invoices. We reserve the right to audit usage and suspend letter privileges if we detect:

  • Transmission of bulk marketing mail or non-recovery correspondence
  • Letters sent to the same debtor exceeding reasonable frequency (e.g. daily)
  • Use by debt collection agencies reselling our service without authorization

6. Acceptable Use Policy

You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose
  • Send spam, harassment, or abusive messages to clients
  • Transmit viruses, malware, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Reverse engineer or copy our software
  • Resell or redistribute the Service without authorization
  • Violate any UK laws, including the Late Payment of Commercial Debts (Interest) Act 1998

7. Intellectual Property

7.1 Our IP

All content, features, and functionality of the Service (including software, text, graphics, logos) are owned by Recoup-IQ and protected by UK and international copyright, trademark, and other laws.

7.2 Your Content

You retain ownership of content you upload (invoices, client data). By using our Service, you grant us a worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your content solely for the purpose of providing and improving the Service.

Aggregated Data: You acknowledge and agree that we may obtain and aggregate technical and other data about your use of the Service that is non-personally identifiable ("Aggregated Data"). We may use the Aggregated Data to analyze, improve, support and operate the Service and for other business purposes, including without limitation to generate industry benchmarks and market intelligence reports, during and after your term of use.

8. Data Protection and Privacy

We process your personal data in accordance with our Privacy Policy and UK GDPR requirements. By using the Service, you consent to such processing and warrant that all data you provide is accurate.

9. Service Availability

While we strive for 99.9% uptime, we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss resulting from service interruptions.

10. Limitation of Liability

To the fullest extent permitted by UK law:

  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to the amount you paid in the past 12 months
  • We do not guarantee successful payment recovery
  • You are responsible for the legal compliance of your recovery activities

Nothing in these Terms excludes our liability for: death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under UK law.

10A. AI and Machine Learning Predictions Disclaimer

⚠️ Important Notice About Predictions

Recoup-IQ uses artificial intelligence and machine learning to provide predictions and insights, including but not limited to:

  • Payment probability estimates
  • Days-to-payment predictions
  • Optimal contact time recommendations
  • Client health scores and risk assessments
  • Cash flow forecasts
  • Industry benchmarks and comparisons

10A.1 No Financial Advice

These predictions are provided for informational purposes only and do NOT constitute financial, legal, or professional advice. You should make your own independent decisions about debt collection, client relationships, and business operations.

10A.2 Prediction Accuracy

While we strive for accuracy, all predictions are based on statistical patterns and historical data. Actual outcomes may differ significantly from predictions. We make no warranties, express or implied, about the accuracy, reliability, or completeness of any prediction or insight.

10A.3 Limitation of AI Liability

We are NOT liable for any loss, damage, or harm arising from:

  • Decisions made based on our predictions or recommendations
  • Inaccurate predictions or risk assessments
  • Failed payment recoveries despite favorable predictions
  • Missed business opportunities due to risk warnings
  • Any reliance on AI-generated insights

10A.4 Data Dependency

Prediction quality depends on your data volume and accuracy. New users will see "still learning" messages until sufficient data is collected. Predictions improve over time as more invoice and payment data becomes available.

10B. Recovery Automation and Your Responsibilities

📋 Important: You Control Your Recovery Process

10B.1 Your Role as Controller

You are responsible for ensuring your use of Recoup-IQ's recovery features complies with applicable UK regulations. Recoup-IQ provides tools within safe parameters, but you remain the controller of communications to your clients.

10B.2 Regulatory Compliance

While Recoup-IQ designs its recovery features to comply with UK regulations including the FCA Consumer Credit Sourcebook (CONC 7.3) and the Protection from Harassment Act 1997, you are responsible for:

  • Selecting appropriate contact frequency for your clients
  • Respecting client requests to stop or modify communication
  • Ensuring messages are appropriate for your business relationship
  • Recording and honouring client contact preferences
  • Pausing recovery activities when invoices are disputed

10B.3 Safe Parameters

Recoup-IQ enforces the following safe parameters on all automated recovery workflows:

  • Maximum 2 contacts per week per invoice
  • Minimum 72 hours between contacts
  • Weekdays only (Monday to Friday)
  • UK business hours (8am to 6pm)
  • Automatic pause if client responds with "stop" or disputes the invoice

10B.4 Your Acknowledgement

By using our recovery automation features, you acknowledge that:

  • You have chosen the contact frequency settings for your account
  • You have accurately recorded any client-stated preferences
  • You will promptly update settings if clients request changes
  • You understand that Recoup-IQ acts on your instructions

10B.5 Indemnification for Recovery Actions

You agree to indemnify Recoup-IQ against any claims arising from recovery activities initiated through your account, including claims of harassment, unless such claims result directly from a defect in our software that circumvented the safe parameters described above.

10B.6 Accuracy of Contact Information

You warrant that all contact information (phone numbers, email addresses) provided for your clients is accurate, up-to-date, and belongs to the intended debtor. You are solely liable for any claims arising from messages sent to incorrect recipients due to inaccurate data provided by you (e.g., "Wrong Number" claims). If a recipient informs us of a wrong contact, we will automatically pause recovery for that invoice, and you must verify the information before resuming.

10B.7 Status of Recoup-IQ

Recoup-IQ is a software-as-a-service (SaaS) platform that provides automation tools for creditors. We are NOT a debt collection agency, we do not purchase debts, and we do not act as a debt collector. All communications sent through the Service are sent by you (the Creditor) or by us acting strictly as your technical processing agent.

10C. Voice & AI Telephony Specific Terms

When using our AI Voice Agent features:

  • Compliance Responsibility: You are solely responsible for ensuring your use of the voice agent complies with all applicable telecommunications laws, including Ofcom regulations and the Privacy and Electronic Communications Regulations (PECR).
  • Consent: You warrant that you have obtained all necessary consents to contact the recipients via automated voice calls.
  • Call Recording: You acknowledge that calls may be recorded for playback and transcript generation. You are responsible for notifying recipients if required by law.
  • Prohibited Use: You must not use the service for cold calling, marketing, or harassment. It is strictly for debt recovery facilitation on existing commercial relationships.

10D. Payment Services & Open Banking

  • Technical Provider Role: When you use "Pay HMRC" or "Initiate Payment", Recoup-IQ acts solely as a Technical Service Provider (TSP) connecting you to authorized Open Banking interfaces.
  • No Handling of Funds: We do not at any point take possession of your funds. All transfers occur directly between your bank and the beneficiary (e.g., HMRC).
  • Liability Limit: We are not liable for any delays, failures, or errors in the banking system or HMRC's receipt of funds once the payment instruction has been successfully handed off to your bank app.

11. Indemnification

You agree to indemnify and hold harmless Recoup-IQ from any claims, damages, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of third parties.

12. Modifications to Service and Terms

We reserve the right to modify or discontinue the Service at any time. We will provide notice of material changes to these Terms via email or through the Service. Your continued use after changes constitutes acceptance.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating legal proceedings, we encourage you to contact us to resolve disputes amicably.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Recoup-IQ regarding the Service.
